1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and HYPPE TECH LLC, a Wyoming limited liability company ("Company," "we," "us," or "our"), concerning your access to and use of the SMS AI Platform and related services (collectively, the "Services").

By accessing or using our Services, you agree to be bound by these Terms. If you disagree with any part of these terms, then you may not access the Services.

2. Description of Services

SMS AI Platform provides:

• SMS verification and OTP (One-Time Password) services
• Temporary phone number rentals
• API access for automated verification processes
• Dashboard for service management and monitoring
• Related support and documentation

3. Account Registration

3.1 Account Requirements

To use our Services, you must:

• Be at least 18 years old
• Provide accurate and complete registration information
• Maintain the security of your account credentials
• Promptly update any changes to your information
• Be responsible for all activities under your account

3.2 Account Security

You are responsible for safeguarding your account credentials and for any activities or actions under your account. You must notify us immediately of any unauthorized use of your account.

4. CRITICAL: CUSTOMER RESPONSIBILITY AND ABSOLUTE LIABILITY DISCLAIMER

4.1 Permitted Use - Customer's Sole Responsibility

You may ONLY use our Services for lawful, legitimate business purposes in full compliance with all applicable laws, regulations, and third-party terms of service. You are solely responsible for ensuring your use is legal and compliant.

4.2 Strictly Prohibited Activities

You absolutely agree NOT to use our Services for any of the following purposes. Violation will result in immediate account termination without refund:

• Any illegal, unlawful, or criminal activity whatsoever
• Fraud, identity theft, impersonation, or misrepresentation
• Money laundering, terrorist financing, or sanctions evasion
• Harassment, stalking, threats, or intimidation
• Spam, phishing, scamming, or unsolicited commercial messages
• Account takeover, credential stuffing, or unauthorized access attempts
• Creating fake or fraudulent accounts on third-party platforms
• Violating terms of service, policies, or rights of third-party platforms
• Bypassing security measures, rate limits, or verification systems
• Bulk registration or automation that violates platform policies
• Any activity that could harm, exploit, or defraud individuals or businesses
• Reselling or redistributing Services without explicit written authorization
• Using automated systems to abuse, overload, or attack our Services or third parties
• Interfering with or disrupting the Services, servers, or networks
• Attempting to gain unauthorized access to any systems or data

4.3 No Liability for Customer's Illegal or Prohibited Use

4.4 Customer Acknowledgment of Independent Action

You explicitly acknowledge and agree that:

• You are an independent actor making your own choices
• HYPPE TECH LLC does not endorse, approve, or authorize your specific use cases
• HYPPE TECH LLC has no control over, and is not responsible for, your actions
• You will not hold HYPPE TECH LLC liable for consequences of your choices
• You understand that providing a service does not equal endorsement of its use

5. Payment Terms

5.1 Fees and Billing

• Services are provided on a prepaid credit basis
• All fees are in US Dollars unless otherwise specified
• Credits are non-refundable except as required by law
• Prices are subject to change with notice

5.2 Refund Policy

Failed verifications will be automatically credited back to your account. Refunds for unused credits may be considered on a case-by-case basis at our sole discretion.

5.3 KYC/AML Compliance

All payments and deposits are subject to our KYC/AML Policy. We reserve the right to block, reject, or freeze funds from fraudulent or suspicious sources, including cryptocurrency accounts associated with illegal activities. We are not responsible for losses resulting from the use of illegally obtained funds.

6. API Usage

6.1 API Access

API access is subject to rate limits and usage quotas. Excessive use may result in temporary or permanent suspension of access.

6.2 API Keys

You are responsible for maintaining the confidentiality of your API keys. Any usage under your API keys is your responsibility.

7. Service Availability

While we strive for 99.9% uptime, we do not guarantee uninterrupted access to the Services. We reserve the right to modify, suspend, or discontinue any part of the Services with or without notice.

8. Intellectual Property

The Services and all related content, features, and functionality are owned by HYPPE TECH LLC and are protected by international copyright, trademark, and other intellectual property laws.

9. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

10. ABSOLUTE LIMITATION OF LIABILITY - NO LIABILITY WHATSOEVER

10.1 No Liability for Any Damages

HYPPE TECH LLC SHALL NOT BE LIABLE UNDER ANY CIRCUMSTANCES FOR:

• ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
• ANY LOSS OF PROFITS, REVENUES, BUSINESS, OR ANTICIPATED SAVINGS
• ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES
• ANY DIRECT DAMAGES ARISING FROM YOUR USE OR MISUSE OF THE SERVICES
• ANY ILLEGAL, FRAUDULENT, OR PROHIBITED ACTIVITIES YOU CONDUCT
• ANY VIOLATIONS OF LAW OR THIRD-PARTY RIGHTS BY YOU
• ANY CLAIMS, LAWSUITS, OR LEGAL ACTIONS AGAINST YOU
• ANY HARM TO YOUR REPUTATION, BUSINESS, OR RELATIONSHIPS
• ANY SERVICE INTERRUPTIONS, ERRORS, OR UNAVAILABILITY
• ANY UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR DATA
• ANY THIRD-PARTY CONDUCT OR CONTENT

10.2 Cap on Liability

IN THE UNLIKELY EVENT THAT HYPPE TECH LLC IS FOUND LIABLE DESPITE THESE DISCLAIMERS, OUR TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE LESSER OF:

• One Hundred US Dollars ($100.00), OR
• The amount you paid us in the 30 days preceding the claim

10.3 No Liability for Illegal Use

YOU EXPRESSLY AGREE THAT HYPPE TECH LLC SHALL HAVE ABSOLUTELY NO LIABILITY, RESPONSIBILITY, OR OBLIGATION WHATSOEVER FOR ANY ILLEGAL, UNAUTHORIZED, OR PROHIBITED USE OF THE SERVICES BY YOU. WE DO NOT MONITOR, CONTROL, OR ENDORSE YOUR SPECIFIC USE CASES. YOU ARE SOLELY RESPONSIBLE FOR YOUR ACTIONS.

11. INDEMNIFICATION - YOU PROTECT US FROM YOUR ACTIONS

11.1 Full Indemnification Obligation

You agree to indemnify, defend, and hold harmless HYPPE TECH LLC, its parent companies, subsidiaries, affiliates, officers, directors, employees, agents, suppliers, licensors, partners, contractors, and representatives from and against ANY and ALL:

• Claims, demands, actions, suits, or proceedings
• Losses, damages, liabilities, settlements, and judgments
• Costs, expenses, and fees (including reasonable attorneys' fees)
• Fines, penalties, and regulatory sanctions

11.2 Causes of Indemnification

Your indemnification obligation applies to any claims arising from or related to:

• Your use or misuse of the Services in any manner
• Your illegal, fraudulent, or prohibited activities
• Your violation of these Terms or any applicable laws or regulations
• Your violation of any third-party rights (including privacy, intellectual property, or contractual rights)
• Your violation of third-party platform terms of service
• Any content, data, or information you submit or transmit through the Services
• Your negligence, willful misconduct, or fraudulent acts
• Any disputes between you and third parties
• Any government investigation, audit, or enforcement action related to your conduct

11.3 Defense and Settlement

HYPPE TECH LLC reserves the right, at its own expense, to assume the exclusive defense and control of any matter subject to indemnification by you. You agree to cooperate fully with our defense. You may not settle any claim without our prior written consent.

12. Termination

We may terminate or suspend your account immediately, without prior notice or liability, for any reason, including breach of these Terms. Upon termination, your right to use the Services will cease immediately.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Wyoming, United States, without regard to its conflict of law provisions. Any disputes shall be resolved in the courts of Wyoming.

14. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes via email or through the Services. Your continued use of the Services after such modifications constitutes acceptance of the updated Terms.
